1. Acceptance of Terms

By purchasing, downloading, installing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by:

– The Privacy Policy available at: https://speedbits.io/privacy-policy/

If you do not agree to these terms, you must not install or use the Software and are entitled to a full refund within 14 days of purchase.

2. Grant of License

Upon payment of the applicable license fee, Smart In Venture GmbH grants the Licensee a non-exclusive, non-transferable right to:
Use the Software internally for business or organizational purposes;
Modify the Software for internal use only;
Install and run the Software on the number of systems specified by the purchased license type.

All rights not expressly granted remain with the copyright holder.

2.1 License Types

The following license types are available:
– Single Server License: Use on one (1) production server
– Multi-Server License: Use on up to five (5) production servers
– Enterprise License: Unlimited servers within the organization

The purchased license type determines the scope of usage rights.

3. Usage Analytics and Data Collection

By using the Software, you agree that:
The Software may collect anonymized usage statistics via Matomo analytics.
This data collection helps improve the Software and is limited to: script names, actions performed, operating system information, and general usage patterns.
No personally identifiable information (PII) is collected.
You may opt-out of analytics at any time through the Software’s settings menu (Quick Actions & Utilities → Toggle Tracking).
The collected data is processed by Smart In Venture GmbH solely for product improvement purposes.

4. Restrictions

Licensee may not:
Distribute, sublicense, sell, rent, or lease the Software to third parties;
Publish or make the Software publicly accessible, including modified versions, without written consent;
Remove or alter copyright, trademark, or attribution notices;
Use the Software to provide hosting services to third parties;
Embed the Software in products sold to customers;
Use the Software in multi-tenant environments serving external clients (without an explicit Multi-Tenant License).

4.1 License Transfer

License transfer to another legal entity requires prior written approval from Smart In Venture GmbH and may be subject to a transfer fee.

5. Ownership

The Software remains the intellectual property of Smart In Venture GmbH.
This Agreement does not convey ownership rights, only a license to use.

5.1 Payment and Fees

All license fees must be paid in full before the license becomes effective.
Licenses are billed annually and renew automatically unless cancelled at least 30 days before the renewal date.
Failure to pay renewal fees results in automatic license termination.
No refunds are provided for partial license periods.

6. Warranty and Liability

The Software is provided “AS IS” without any warranty, except as may be required by applicable law.
Liability for damages, if any, is limited to the total amount paid for the Software license.

7. Support and Updates

If included in the purchased plan, the Licensee is entitled to updates and/or support as specified in the purchase documentation or invoice.

8. Termination

Smart In Venture GmbH may terminate this License if the Licensee breaches any term of this Agreement.
Upon termination, all use of the Software must cease immediately.

8.1 Audit Rights

Smart In Venture GmbH reserves the right to audit the Licensee’s use of the Software upon reasonable notice to ensure compliance with this Agreement.
Licensee agrees to provide reasonable cooperation during such audits.

9. Third-Party Software

The Software includes or may download third-party components such as Docker, Borg, Borgmatic, Traefik, and others.
All third-party components remain subject to their respective licenses.
The use of such components does not grant any additional rights beyond those explicitly granted in this Agreement.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Germany.
Exclusive place of jurisdiction for all disputes arising from or in connection with this Agreement shall be Cologne, Germany.
